TrustedStaffer provides healthcare staffing services, connecting qualified nurses and healthcare professionals with healthcare facilities nationwide. Our services include job placement assistance, credential verification, application processing, and ongoing support throughout assignments. We act as an intermediary between healthcare professionals and facilities, facilitating employment opportunities.

Account Registration and Security

To access certain features of the Sites, you may be required to create an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

We reserve the right to disable any account at any time for any reason, including if we believe you have violated these Terms.

User Responsibilities

As a user of our Sites and services, you agree to:

• Provide truthful and accurate information in all applications and communications
• Maintain valid, current nursing licenses and professional credentials
• Comply with all applicable federal, state, and local laws and regulations
• Fulfill the terms of any employment contracts or assignments
• Maintain professional conduct and ethical standards
• Notify us promptly of any changes to your credentials, licenses, or contact information
• Cooperate with background checks, credential verification, and reference checks

Application and Placement Process

Submission of an application through our Sites does not guarantee placement, employment, or acceptance into our network. All placements are subject to credential verification, background checks, reference verification, and approval by healthcare facilities. We reserve the right to decline any application or terminate any placement arrangement at our discretion. Employment relationships are between you and the healthcare facility; TrustedStaffer acts as a facilitator and staffing partner.

Prohibited Uses

You may use the Sites only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Provide false, misleading, or fraudulent information
• Impersonate any person or entity
• Interfere with or disrupt the Sites or servers
• Use automated systems (bots, scrapers) to access the Sites
• Attempt to gain unauthorized access to any portion of the Sites
• Upload viruses, malware, or other harmful code
• Harass, abuse, or harm other users or staff
• Use the Sites for any commercial purpose not authorized by us

Intellectual Property Rights

The Sites and their entire contents, features, and functionality (including all information, software, text, displays, images, video, audio, design, and selection) are owned by TrustedStaffer, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any material from our Sites without our prior written consent, except for temporary storage in your browser's cache or printing/downloading a reasonable number of pages for personal use.

User Content

You may be able to submit content to the Sites, including resumes, applications, messages, and other materials ("User Content"). By submitting User Content, you:

• Grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your User Content for the purpose of providing our services

Disclaimer of Warranties

THE SITES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Sites will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that defects will be corrected

We do not warrant or guarantee any specific employment outcomes, placements, or results from using our services.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRUSTEDSTAFFER SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of goodwill
• Damages arising from your use of or inability to use the Sites
• Damages arising from any employment relationship or placement

Our total liability to you for any claims arising from your use of the Sites shall not exceed the amount you have paid us in the past twelve months, or $100, whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless TrustedStaffer, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Sites.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which TrustedStaffer is headquartered, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Sites shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement or violation of confidentiality obligations.

Termination

We reserve the right to terminate or suspend your access to the Sites at any time, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, is harmful to our business, or for any other reason in our sole discretion. Upon termination, your right to use the Sites will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. Entire Agreement
